The society of Forum for Ethical Business stands to promote ethics, integrity, honesty, transparency in the conduct of business.
Governing Body Role
There shall be a Governing Body of the Society to look after and to manage the day-to-day affairs of the Society.
The Governing Body shall consist of minimum of five (5) and maximum ten (10) members.
The Governing Body will be elected from and by the Members of the Society. The elected Governing Body shall hold office for a term of five years from the date of their appointment and shall be eligible for re-appointment. The election may be by secret ballot papers or by show of hands as the Election Officer may decide.
Unless otherwise decided by the Governing Body, a member of the Governing Body shall continue to be in office until his/her successor has been elected.
In case a member of the Governing Body ceases to be a member of the Society or he/she is expelled/terminated from the membership of the Society, for any reason, or he/she resigns from the Governing Body, such casual vacancy may be filled by the Governing Body by nomination for the balance term of the Governing Body. Any such casual vacancy amongst the Governing Body shall be filled by a resolution passed by the Governing Body. Such appointment shall be confirmed by the General Body in its next General Body meeting.
The Governing Body of the Society shall consist of the following office bearers:
(i) President
(ii) General Secretary
(iii) Treasurer
(iv) Executive members: minimum five (5) maximum ten (10).
The General Body shall have the power to increase or decrease the strength of the Governing Body and/or office bearers including creation of new position/ designation of office bearers.
The President of the Society shall be the President of the Governing Body and vice-versa. Except the casual vacancies to be filled by the Governing Body under Rule 10 e, all the office bearers of the Society shall be elected in General Body meetings.
The meetings of the Governing Body shall be held at least once in every 3 months. Governing Body meeting shall be held once in three months and as and when the President of the Society may decide from time to time.
The Governing Body shall take decisions by a vote of the majority present and voting. Every member present in a Governing Body meeting shall have one vote and in case of a tie, the President of the Society shall have a casting vote.
A resolution approved by the majority of the members of the Governing Body after circulation amongst all the members of the Governing Body, shall be as effective and binding as a resolution passed at a meeting of the Governing Body, provided that such resolution is circulated by and under the signature of the President of the Society.
Notice: - At least 7 days written notice shall be given for a meeting of the Governing Body, but a meeting may be called by the President by 24 hours notice in case of exigencies
Quorum: - The quorum for all Governing Body meetings shall be presence of three (3) members of the Governing Body of the Society. Presence of the President in the meeting is necessary to complete the quorum. The quorum shall not be complete in the absence of the President in any meeting, including meeting adjourned for want of quorum.
