The society of Forum for Ethical Business stands to promote ethics, integrity, honesty, transparency in the conduct of business.
Powers and Duties of Officer Bearers
A. President
President shall preside over all the meetings of the Society.
At the time of voting on any matter/ subject, if the total votes of the groups of members happen to be equal in number, the President has the power to cast an extra vote (casting vote) to decide the matter/ subject.
President shall have the power to allow inclusion of any subject/matter in agenda for the discussion in the course of proceeding / meeting.
President will sign all the papers / letters, on the behalf of the Society, to conduct its correspondence.
President shall have the power to convene meetings of the General Body and the Governing Body and to circulate resolutions, if necessary.
At a General Body meeting, the President has the right to interpret the rules and regulations of the Association and his decision thereon shall be final and binding.
The President can incur an expenditure of upto Rs. 50,000/- (Rupees Fifty Thousand only) on behalf of the Society at any time if required.
The President can represent the Society in all legal proceedings by or against the Society and can make arrangements for representing the Society through lawyers, and
The President will exercise any other powers given to the President under any other Rules herein and/or any other powers given to him by the General Body or the Governing Body.
B. General Secretary
General Secretary shall have the power to convene meetings of the General Body and the Governing Body, if so instructed by the President.
General Secretary will prepare the Membership Register as well as the Proceeding Register to record the minutes of the proceedings of the Governing Body meetings and the General Body meetings and have them duly signed by the Members who attend the meetings.
General Secretary shall prepare agenda and post notice of all executive committee, General Body and other functions of the association.
General Secretary shall be responsible for the upkeep of all property records, correspondence and record of the association, which shall be properly maintained and shall be handed over to the successor immediately on relinquishing office.
General Secretary shall keep the President informed of all activities of the Society and send copies of all correspondence to him/her.
General Secretary is authorised to sign on behalf of the Governing Body all formal documents in consultation with the President.
General Secretary is empowered to incur an expenditure of Rs 10,000/- (Rupees Ten Thousand only) on behalf of the Society with the written permission of the President.
General Secretary can, in the event of a temporary absence of the President in India or if the office of the President is vacant, represent the Society in all legal proceedings by or against the Society and can make arrangements for representing the Society through lawyers.
The General Secretary will exercise any other powers given to the General Secretary under any other Rules herein and/or any other powers given to him by the General Body or the Governing Body.
C. Treasurer
All funds of Society shall remain under care and management of Treasurer.
Treasurer shall maintain/ cause to be maintained the accounts of all the money, which is received and / or paid by him/ her on behalf of the Society.
Treasurer shall make disbursement in accordance with the direction of Governing Body.
Functions & Powers of Governing Body
Governing Body shall be responsible for the management and administration of all the affairs of the Society, and is also authorised to appoint any office bearer/ executive member to look after any particular activity.
All the decisions shall be taken by the majority votes of those present and voting
The Governing Body shall have the powers, as are the powers of the Society, mentioned in the Memorandum of the Society and in these Rules & Regulations. The Governing Body shall also have the following powers:
(i) To prepare plans, projects and programmes.
(ii) To appoint Election Officer and stipulate his/ her powers.
(iii) To fill in casual vacancies in the Governing Body.
